Codechime Attendance Terms of Use

These Terms of Use (the “Terms”) constitute a legally binding agreement between you (“User,” “you,” or “your”) and Codechime Software Solutions (“Codechime,” “we,” “us,” or “our”), a software company organized under the laws of the Philippines, with its principal place of business in Cebu, Philippines. These Terms govern your access to and use of the Attendance mobile application (“App”).

These Terms incorporate by reference our Privacy Policy, which explains how we collect, use, and share your personal information.

1. Acceptance of Terms

By downloading, installing, accessing, or using the App, you represent that you possess the legal capacity to enter into this agreement. If you do not agree to these Terms or our integrated Privacy Policy, do not download or use the App.

2. Description of Service

The App is a workforce tracking and productivity tool designed to log employee time-in and time-out events, capturing timestamps and location data to facilitate team management.

The App is an organizational utility. It is not a formal substitute for comprehensive payroll processing, HR compliance systems, or legal advisory services. Codechime provides the software infrastructure; we are not your employer, and we do not govern your workplace policies.

3. Location Tracking and Consent

By utilizing the swipe-to-time-in or swipe-to-time-out feature, you explicitly consent to the App accessing and recording your device's precise GPS location at the exact moment of the swipe. You acknowledge and agree that this location data, along with your timestamp, will be transmitted to and visible by your Team Administrators or employer.

4. User Accounts and Teams

• Registration: To join a team and sync data, you must create a Codechime account. You are entirely responsible for keeping your login credentials confidential.
• Guest Accounts: You may test the App as a guest. Guest data is held securely on our cloud servers under a temporary identifier. If a guest account remains inactive for 30 consecutive days, all server-side guest files are permanently destroyed.
• Team Collaboration: As a team member, you are responsible for ensuring your clock-ins are accurate. As a Team Administrator, you represent that you have the right to view and manage the data of the users you invite to your organization.

5. Subscriptions and Monetization

The App is currently provided as a free utility within the Codechime ecosystem. Codechime reserves the right to introduce a paid subscription premium tier ("Pro Tier") in future updates, which may encompass advanced features such as data exports, extensive reporting, or IP address logging. Any future billing cycles and transactions will be handled through standard digital storefronts (e.g., Google Play Store billing).

6. User Conduct

You agree to use the App solely for lawful activities. You are strictly prohibited from:

• Using GPS spoofing software, mock location settings, or any other method to falsify your physical location during a clock-in or clock-out event.
• Swiping in or out on behalf of another individual (buddy punching).
• Interfering with, disabling, or hacking the backend cloud server architecture.
• Attempting to reverse engineer, decompile, or steal the source code of the application.

7. User Content and Data License

You agree that as between you, your employer, and Codechime: your employer (the Team Administrator) acts as the "Data Controller" of your attendance records, and Codechime acts solely as the "Data Processor."

You grant Codechime a worldwide, royalty-free, non-exclusive license to host, process, transmit, and back up your data solely to deliver the services to you and your designated Team Administrators.

8. Disclaimers and Limitations of Liability

• Employer Disputes: Codechime is not responsible for employment disputes, payroll discrepancies, or disciplinary actions taken by your employer based on the data captured by this App. Any discrepancies in time logs or location tracking must be resolved directly between the employee and the employer.
• Accuracy: Codechime does not guarantee the flawless accuracy of GPS technology, which can be affected by weather, buildings, or device hardware.
• As-Is Basis: Codechime provides the Services "as is" and "as available" without explicit or implied warranties of merchantability or uptime reliability.
• Limitation of Liability: To the maximum tier allowed under governing law, Codechime's cumulative financial liability to you for all claims connected to this software shall never exceed one hundred US dollars ($100).

9. Governing Law and Disputes

These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines. Any legal friction, dispute, or litigation arising out of or related to this system shall be submitted exclusively to the jurisdiction of the proper courts in Cebu City, Philippines.
