1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "User", or "You") and Codechime Software Solutions ("Codechime", "we", "us", or "our"), governing your access to and use of the Codechime enterprise resource planning platform, website, and related services (collectively, the "Service").
By creating an account, accessing, or using Codechime, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.
2. Merchant of Record Disclosure
Our order process and billing are conducted by our online reseller and authorized Merchant of Record, Paddle.com Market Ltd ("Paddle"). Paddle is the Merchant of Record for all our orders. Paddle provides customer service inquiries and handles returns and tax compliance on our behalf. When purchasing a paid subscription to Codechime, you will also be subject to Paddle's checkout terms and conditions.
3. SaaS Subscriptions, Tiers & Quotas
Codechime offers modular software plans including our Starter tier, Growth tier, and custom Scale/Enterprise tiers. Each subscription grants you a non-exclusive, non-transferable, revocable right to access and use the platform subject to the applicable tier limits:
- Starter Tier ($49/month or $490/year): Includes up to 3 user seats and 500 sales orders per 30-day billing cycle. Additional seats are billed at $15/seat/month.
- Growth Tier ($149/month or $1,490/year): Includes up to 10 user seats and 3,000 sales orders per 30-day billing cycle, including Delivery Dispatch, driver portal, and priority support. Additional seats are billed at $12/seat/month.
- Order Quotas: If your monthly sales order volume reaches your tier's limit, you will be prompted to upgrade your plan or purchase an order boost pack. We do not assess surprise micro-overage penalties.
4. Free Trial
New registrations receive a 14-day free trial granting full access to Growth tier capabilities without requiring credit card information upfront. At the conclusion of the 14-day trial period, access to core processing features is paused unless you choose to subscribe to a paid tier. Inactive accounts with minimal trial activity may request a one-time 7-day trial extension via the dashboard.
5. Billing, Renewal & Cancellation
Paid subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You may cancel your subscription at any time directly through your in-app billing portal or by contacting Paddle support. Upon cancellation, your workspace remains active until the end of your prepaid period.
6. User Data & Confidentiality
You retain full ownership of all data, transactions, inventory lists, and customer records ("Customer Data") that you upload or input into Codechime. We maintain rigorous administrative, technical, and physical safeguards to protect the confidentiality and security of Customer Data.
7. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall Codechime Software Solutions or its suppliers be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including loss of profits, goodwill, or data, arising out of or related to your use of the Service.
8. Governing Law & Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Republic of the Philippines, without regard to its conflict of law principles. Any legal suit, action, or proceeding arising out of or related to these Terms shall be instituted exclusively in the competent courts of Cebu, Philippines.
